3. Service Availability

Whilst we strive to provide continuous access to our services, we do not guarantee uninterrupted availability. We reserve the right to modify, suspend, or discontinue any aspect of our services with reasonable notice to affected clients.

4. Payment Terms

Payment terms for our services will be specified in individual service agreements. Unless otherwise agreed, payments are due within 30 days of invoice date. Late payments may incur additional charges as permitted by law.

Intellectual Property

All content, materials, methodologies, and intellectual property provided by Kironius remain our exclusive property unless explicitly transferred in writing. Clients retain ownership of their proprietary business information and data shared during consultations.

You may not:

  • Reproduce, distribute, or create derivative works from our proprietary materials
  • Use our trademarks, logos, or branding without written permission
  • Reverse engineer or attempt to extract our methodologies
  • Share our proprietary frameworks with third parties

5. Confidentiality

We maintain strict confidentiality regarding all client information and business details shared during our professional relationship. Clients are expected to maintain similar confidentiality regarding our proprietary methods and other clients' information.

Limitation of Liability

To the maximum extent permitted by Irish and EU law, Kironius Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability for any claims related to our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

We provide consultancy services and advice based on our professional expertise, but we cannot guarantee specific business outcomes or results. The success of your startup depends on numerous factors beyond our control.

7. Indemnification

You agree to indemnify and hold Kironius Ltd harmless from any claims, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

8. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms of Service. By using our services, you consent to our data practices as described in our Privacy Policy.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Ireland. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the Irish courts. For clients located in other EU member states, you may also have rights under your local consumer protection laws.

10. Dispute Resolution

We encourage the amicable resolution of any disputes through direct communication. If formal dispute resolution becomes necessary, we prefer mediation before pursuing litigation. EU residents may also access the European Commission's Online Dispute Resolution platform.

11. Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, pandemics, or technical failures.

Termination

Either party may terminate the service relationship with reasonable written notice. Kironius reserves the right to terminate services immediately in cases of breach of these terms, non-payment, or unlawful conduct.

Upon termination:

  • You remain liable for all outstanding fees
  • Confidentiality obligations continue indefinitely
  • You must cease using our proprietary materials
  • We will return or destroy your confidential information upon request

13. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to active clients with reasonable advance notice. Continued use of our services after such modifications constitutes acceptance of the updated terms.

14. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Invalid provisions shall be modified to the minimum extent necessary to make them enforceable.

15. Entire Agreement

These Terms of Service, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and Kironius regarding the use of our services. No oral modifications or representations shall be binding.
